01 Acceptance of Terms

Welcome to Cubicles Coders ("Company", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website https://cubiclescoders.com, our social media management platform at https://social.cubiclescoders.com, and all related services (collectively, the "Platform").

These Terms constitute a legally binding agreement between you and Cubicles Coders. Your use of our Platform signifies your acceptance of these Terms and our Privacy Policy.

02 Services Provided

Cubicles Coders provides a range of online services including but not limited to:

• Legal and compliance services
• Government registration and filing services
• Document preparation and verification
• Business consulting and advisory services
• Web development and digital solutions
• Marketing and promotional services
• Social media management and scheduling services (Marketing Plus — hosted at social.cubiclescoders.com), including integration with Meta platforms (Facebook and Instagram) for authorized content scheduling, publishing, and analytics
• Other technology-related services as offered on the Platform

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

03 User Eligibility

By using our Platform, you represent and warrant that:

• You are at least 18 years of age or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding contract
• You are not prohibited from using our services under any applicable laws
• All information you provide is accurate, current, and complete
• You will maintain the accuracy of such information

If you are using our Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

04 User Obligations

As a user of our Platform, you agree to:

Account Security

• Maintain the confidentiality of your account credentials
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Not share your account with any third party

Prohibited Activities

You agree NOT to:

• Use the Platform for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Upload false, misleading, or fraudulent information or documents
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Platform or servers
• Use unauthorized automated systems, bots, or scripts without our express written permission — except where such automation is explicitly provided and authorized through Cubicles Coders' official social media scheduling tools (see Section 05)
• Copy, modify, or distribute our content without authorization
• Publish content through our platform that violates Meta's Community Standards or any applicable platform policies
• Engage in any activity that harms or could harm Cubicles Coders or its users

Accurate Information

You must provide accurate, complete, and current information when using our services. Providing false or misleading information may result in immediate termination of services and may constitute fraud.

05 Social Media Scheduling & Automation Services

Authorization & Consent

By connecting your Facebook Page, Instagram Business account, or any other social media account to our platform via OAuth, you:

• Grant Cubicles Coders permission to publish, schedule, and manage content on your behalf on the connected accounts
• Confirm that you are the authorized owner or administrator of the connected account or page
• Confirm that, where you are connecting an account on behalf of a client, you have obtained that client's express written consent to do so
• Agree to comply with the terms of service of each connected platform, including Meta's Terms of Service and Community Standards

Authorized Automation

User Responsibilities for Connected Accounts

When using our social media services, you are solely responsible for:

• All content published through our platform to your connected accounts
• Ensuring all published content complies with applicable laws, regulations, and platform policies
• Ensuring you have the rights, licenses, and permissions for all content (text, images, videos) you submit for publishing
• Not submitting content that is defamatory, obscene, infringing, or in violation of any third-party rights
• Obtaining proper authorization before connecting any client accounts to our platform

Multi-Client Use

Businesses and agencies using our platform to manage social media accounts on behalf of their clients ("Client Accounts") agree that:

• They have obtained explicit authorization from each client before connecting that client's account
• They will maintain a record of client authorizations and make these available to Cubicles Coders upon request
• They remain responsible for ensuring client content complies with all applicable platform policies
• They will promptly disconnect any client account upon termination of the client relationship

Disconnecting Accounts

You may disconnect any connected social media account from our platform at any time by navigating to Settings → Connected Accounts → Disconnect within the platform dashboard. Upon disconnection, we will immediately cease all automated actions on the disconnected account and delete associated access tokens within 30 days.

Third-Party Platform Availability

Our social media services depend on the availability and policies of third-party platforms (Facebook, Instagram, etc.). We are not responsible for any disruption to our services caused by changes to third-party platform APIs, policies, or availability. We will endeavor to notify users of any significant changes that affect our services.

07 Payment Terms

Fees and Charges

You agree to pay all fees and charges associated with the services you purchase through our Platform. All prices are listed in Indian Rupees (INR) unless otherwise stated and are subject to change without notice.

Payment Methods

We accept payment through:

• Credit/Debit Cards
• Net Banking
• UPI (Unified Payments Interface)
• Digital Wallets
• Other payment methods as available on the Platform

Refund Policy

Refunds, if applicable, will be processed in accordance with our Refund Policy. Services that have been initiated or completed are generally non-refundable. Refund requests must be submitted in writing to our support team.

Late Payments

Failure to pay on time may result in suspension or termination of services. We reserve the right to charge interest on late payments at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

08 Intellectual Property Rights

Our Property

All content, features, and functionality available on the Platform, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, software, and the compilation thereof (collectively, "Content") are the exclusive property of Cubicles Coders or its licensors and are protected by Indian and international intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or business use in accordance with these Terms. This license does not include any right to:

• Resell or make commercial use of the Platform or Content
• Modify, reproduce, or create derivative works
• Download or copy Content for redistribution
• Use any data mining, unauthorized robots, or similar unauthorized data gathering tools

Your Content

By submitting documents, social media content, or other materials to our Platform for the purpose of scheduling or publishing, you represent that you own or have the necessary rights to such content. You grant Cubicles Coders a limited, non-exclusive license to store, process, and publish such content solely for the purpose of providing services to you.

09 Disclaimer of Warranties

To the fullest extent permitted by applicable law, Cubicles Coders disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free service.

We do not warrant that the Platform will meet your specific requirements, that services will be uninterrupted or error-free, or that results will be accurate or reliable. We are additionally not responsible for any actions taken by third-party social media platforms that affect the availability or functionality of our services.

10 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Cubicles Coders, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits or business opportunities
• Loss of data or social media account access
• Loss of goodwill or reputation
• Service interruption or platform downtime
• Suspension of connected social media accounts by third-party platforms
• Cost of substitute services

11 Indemnification

You agree to defend, indemnify, and hold harmless Cubicles Coders, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Platform
• Content published through our platform on your connected social media accounts
• Your breach of any third-party platform terms (e.g., Meta's Terms of Service)
• Your violation of any third-party rights
• Information or documents you submit to the Platform
• Any harm caused by your actions to any other user

12 Termination

Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your right to use the Platform will immediately cease, and all connected social media accounts will be disconnected.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms or Meta's Platform Policies
• Fraudulent or illegal activity
• Non-payment of fees
• Publishing content that violates applicable platform policies
• At our sole discretion for any other reason

Effect of Termination

Upon termination:

• All rights granted to you under these Terms will immediately cease
• All connected social media accounts will be disconnected and associated OAuth tokens revoked
• Social media platform data will be deleted within 30 days per our Privacy Policy
• We are not obligated to provide refunds for any prepaid fees

13 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.

Arbitration

Before filing any lawsuit, both parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

14 Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms on the Platform with a new "Last Updated" date
• Sending notification via email (when appropriate)
